Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED. All federal, state and local laws and regulations apply. The Wrangler Shoot 'N Score Photo Contest (the "Contest") is open only to legal residents of the continental United States (the "Eligibility Area"), who are 18 years of age or older at time of entry. Contest begins at 12:00:01 a.m. Central Time on August 19, 2009 and ends at 11:59:59 p.m. Central Time on October 9, 2009 (the "Contest Period").

HOW TO ENTER: To enter the Contest, submit a color photograph of your high school sports team in action. You may submit one of the following: (i) a 5" x 7" color print; (ii) a 35mm color slide; or (iii) a digital image of at least 300 dpi accompanied by a photo-quality print. The photograph must be your original work, and must not have been published previously in any form or by any means, including electronically. If submitting your photograph by mail, print the following information on a 3 x 5 card and include it with your photograph: your name, mailing address, daytime telephone number, date of birth, and email address. Any entries that do not conform to the requirements in these Official Rules or are received after the Contest Period ends will not be eligible. You may enter as many times as you wish; however, each entry must be a different photograph. No entries will be accepted via facsimile or email. All entries must be postmarked by October 9, 2009. All entries become the property of Publishing Group of America, Inc. ("PGA") and will not be acknowledged or returned. No changes to any entry information will be permitted once submitted. PGA assumes no responsibility for lost, late, misdirected, damaged or postage-due mail, or for entries that cannot be processed due to technical failures of any kind.

By participating in this Contest, you (i) accept and agree to be bound by the terms and conditions stated in these Official Rules, (ii) agree to be bound by the decisions of the judges, which shall be final and binding in all respects, (iii) warrant that you are eligible to participate in this Contest, and (iv) agree that your submission becomes the property of PGA, and that PGA shall have the right to edit, adapt, copyright, publish and use any or all of it, without further compensation to you. This Contest is VOID outside of the Eligibility Area and where otherwise taxed, prohibited or restricted.

JUDGING & CRITERIA: Each eligible entry will be judged by a panel of professional photographers/editors selected by PGA. Each eligible entry will be judged based on the following criteria: (i) photographic quality; and (ii) subject material. All decisions of the judges are final.

PRIZES: On or about October 30, 2009, the winners will be selected by the judges from all eligible entries received. The following prizes will be awarded in connection with the Contest:

One (1) Grand Prize: One (1) Grand Prize Winner will receive a Five Star Premium Photo Package consisting of one (1) digital camera, one (1) photo printer, and $100 worth of Wrangler Five Star Premium Denim. The Grand Prize Winner will also have his/her winning photograph included in an upcoming issue of American Profile magazine. Approximate Retail Value (ARV) of the Grand Prize: $800.00.

Ten (10) Second Prizes: Ten (10) Second Prize Winners will each receive one (1) pair of Wrangler Five Star Premium Denim jeans and will have their photographs featured online at www.americanprofile.com. ARV of each Second Prize: $16.99.

All taxes, incidental expenses, and/or any other expenses or costs associated with receipt of a prize and not specified above are the sole responsibility of the winners. No prize is transferable or redeemable for cash, and no substitution or assignment of any prize or any component of any prize will be permitted, except PGA reserves the right, in its sole discretion, to substitute a prize with either the cash value of the prize or a prize of equal or greater value in the event the prize is unavailable. Prizes may not be combined with any other offer.

ELIGIBILITY: Employees and directors of PGA and VF Corporation, Inc. ("Wrangler"), their immediate family members and residents of their households, and vendors, affiliates, and subsidiaries of PGA and Wrangler are not eligible to participate in this Contest.

WINNERS: All winners will be notified by postal mail. The prizes will be fulfilled only upon winner validation and verification by PGA. If the initially selected winner(s) cannot be contacted, is ineligible, fails to claim a prize, or fails to complete and return any required documents, all within the time period set forth below, then the winner's prize will be forfeited and an alternate winner will be selected by the judges from among the remaining eligible entries. Each potential winner will be required to sign and return a notarized Affidavit of Eligibility/Compliance (including his/her Social Security Number if required for tax reporting purposes) and a Liability/Publicity Release, as allowed by law, within fourteen (14) days following the date of the notification letter that accompanies the Affidavit and Release, or the winner's prize will be forfeited and an alternate potential winner will be selected by the judges from the remaining eligible entries. In the event that a winning entry is a minor, the minor's parent or legal guardian must sign the Affidavit. Prior to PGA's publication of the photographs, the winners agree to cooperate with and assist PGA in obtaining all necessary releases from third parties pictured in the photographs. If the necessary releases for a photograph cannot be obtained prior to publication, PGA reserves the right, in its sole discretion, not to publish the photograph.

GENERAL CONDITIONS: Acceptance of a prize constitutes permission (except where prohibited) to PGA and Wrangler to use such winner's name, biographical information, hometown, and likeness for purposes of advertising, promotion, and publicity and without additional compensation to the winner.

ORIGINAL WORK: By entering the Contest, each contestant represents and warrants that his/her photograph is an original work and that the contestant is the sole author with the full power to submit the same and to grant the licenses herein to PGA. Contestants may not submit information or content that violates the property rights of others, including unauthorized intellectual property, trade secrets or other confidential or proprietary information of a third party. By submitting a photograph to PGA, the contestant grants to PGA a perpetual, irrevocable, nonexclusive, royalty-free license to use, reproduce, display, distribute, publish, modify and create derivative works from the contestant's photograph in any media now known or hereafter developed. Each contestant hereby waives any opportunity or right to inspect or approve his/her photograph and/or the final product in which it may be used or incorporated. Each contestant hereby releases PGA from all claims now or hereafter existing which may arise from any use, non-use or editing of the contestant's photograph.

DISQUALIFICATION: Persons found tampering with or abusing any aspect of this Contest, as solely determined by PGA, will be disqualified. ANY ATTEMPT BY A CONTESTANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, PGA RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event any portion of this Contest is compromised by a non-authorized human intervention, action of contestants, or other causes beyond the control of PGA which, in the sole opinion of PGA, corrupt or impair the integrity, administration, security, fairness or proper play of this Contest, PGA reserves the right, in its sole discretion, to suspend or terminate the Contest and award the prizes from all eligible entries received prior to the action or compromise giving rise to the suspension or termination of the Contest.

DISCLAIMER; RELEASE: PGA is not responsible for: (a) any typographical or other errors in the printing of the offer or any related advertisements; (b) administration of the Contest or the announcement of the prizes; (c) late, lost, illegible, incomplete or misdirected entries; or (d) other error of any kind whether human, mechanical or electronic. By participating in the Contest, contestants agree to release and hold PGA, Wrangler, their officers, directors, employees, affiliates, subsidiaries, advertising, fulfillment, marketing agencies, public relation firms, consultants and contractors harmless from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons (including death) and property which may be sustained in connection with the receipt, ownership, possession, acceptance, enjoyment, use or misuse of any prize, or arising out of participation in this Contest, or while preparing for, participating in, and/or traveling to and from taking delivery of any prize or any prize-related activity. PGA and Wrangler expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prizes awarded.

LIMITATION OF LIABILITY; DISPUTES: Except where prohibited, as a condition of participating in this Contest, contestants agree that any and all disputes which cannot be resolved between or among the parties, and any claims or causes of action arising out of or connected with this Contest, the prizes awarded, or the determination of the winners, shall be resolved individually, without resort to any form of class action. IN NO EVENT WILL PGA, WRANGLER, THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, ADVERTISING, PROMOTION, FULFILLMENT, MARKETING AGENCIES, PUBLIC RELATION FIRMS, CONSULTANTS OR CONTRACTORS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF THIS CONTEST AND/OR ANY ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THIS CONTEST, INCLUDING WITHOUT LIMITATION, ANY CLAIMS BASED ON PUBLICITY RIGHTS OR INVASION OF PRIVACY. The state and federal courts located in Nashville, Tennessee shall have exclusive jurisdiction of any of the controversies that may arise regarding this Contest and the laws of the State of Tennessee shall govern the Contest and these Official Rules. Each contestant waives any and all objections to jurisdiction and venue in these courts and hereby submits to the jurisdiction of these courts. Any and all lawsuits or other disputes that arise relating to this Contest must be filed within one (1) year from the date that the winners are selected.

GENERAL INFORMATION: The failure of PGA to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force.
